1. Acceptance of Terms
By accessing or using the BidIQ platform (accessible at www.bidiq.co.za), including any associated email notifications and application programming interfaces (collectively, the "Service"), you ("User", "you" or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms in their entirety, you must immediately cease using the Service.
These Terms constitute a legally binding agreement between you and BidIQ (Pty) Ltd ("BidIQ", "we", "us" or "our"), a company registered under the laws of the Republic of South Africa.
By registering an account or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated into these Terms by reference.
2. Eligibility
To access and use the Service, you must:
- Be at least 18 years of age;
- Have the legal capacity to enter into a binding agreement under South African law;
- Not be prohibited from using the Service under any applicable local or international law; and
- Where registering on behalf of a legal entity, have the authority to bind that entity to these Terms.
The Service is primarily intended for businesses, procurement professionals and individuals operating within or seeking procurement opportunities in South Africa. BidIQ reserves the right to decline registration or revoke access at its sole and reasonable discretion, without obligation to provide reasons.
3. User Accounts
3.1 Registration
To access certain features of the Service, you must register for an account using a valid email address and a secure password. During onboarding, you may be required to provide company information, including your company name, operating province and industry categories.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You must notify BidIQ immediately at hello@bidiq.co.za if you suspect any unauthorised access to or use of your account. BidIQ shall not be liable for any loss or damage arising from your failure to adequately safeguard your credentials.
3.3 Accuracy of Information
You agree to provide accurate, current and complete information at the time of registration and to keep such information updated throughout your use of the Service. BidIQ reserves the right to suspend or terminate accounts that contain false, misleading or outdated information.
3.4 One Account Per Entity
Each legal entity may maintain only one active BidIQ account unless otherwise agreed in writing with BidIQ.
4. Acceptable Use
You agree to use the Service solely for lawful purposes and in accordance with these Terms. Without limitation, you must not:
- Use the Service in any manner that could damage, disable, overburden, impair or compromise the Service or interfere with any other party's use of the Service;
- Attempt to gain unauthorised access to any part of the Service, other user accounts, or computer systems or networks connected to the Service;
- Use automated tools, bots, crawlers, scrapers or similar technologies to systematically extract data from the Service without prior written consent from BidIQ;
- Reproduce, duplicate, copy, sell, resell or commercially exploit any portion of the Service without BidIQ's express written permission;
- Use the Service to distribute spam, phishing communications, chain letters or other unsolicited messages;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Submit or transmit any content that is unlawful, harmful, defamatory, obscene, fraudulent or otherwise objectionable;
- Attempt to reverse engineer, decompile, disassemble or otherwise derive the source code of any software forming part of the Service; or
- Use the Service in violation of any applicable South African law, regulation or international obligation.
BidIQ reserves the right to investigate any suspected violation of these Terms and to take appropriate remedial action, including suspension or permanent termination of access.
5. Intellectual Property
5.1 BidIQ's Proprietary Rights
All content, features, functionality, software, design, text, graphics, logos, icons and other materials available on or through the Service — excluding procurement data sourced from publicly available government portals — are owned by BidIQ or its licensors and are protected by applicable South African and international intellectual property laws.
5.2 Limited Licence to You
BidIQ grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes in accordance with these Terms. This licence does not include the right to sublicense, reproduce, distribute, modify or create derivative works of any material from the Service.
5.3 Procurement Data
Tender and procurement information displayed on BidIQ is aggregated from official South African government portals, including but not limited to the National Treasury eTender Publication Portal. Such underlying data is in the public domain. BidIQ's proprietary value-add — including search and filter functionality, alert systems, categorisation, match scoring and platform presentation — remains exclusively owned by BidIQ.
5.4 User Content
Any information you submit to the Service, including company profiles and saved search configurations, remains your property. By submitting such information, you grant BidIQ a limited, royalty-free licence to use it solely for the purpose of providing the Service to you.
5.5 Feedback
If you voluntarily provide feedback, suggestions or ideas regarding the Service, BidIQ may use such feedback without restriction, compensation or obligation to you.
6. Service Availability
BidIQ provides the Service on an "as available" basis. While we endeavour to maintain a high level of availability, we do not warrant that the Service will be uninterrupted, error-free, timely or free of viruses or other harmful components.
BidIQ may, at its reasonable discretion and with or without prior notice:
- Modify, suspend or discontinue any part of the Service;
- Perform scheduled or emergency maintenance that may temporarily interrupt access; or
- Impose usage limits on certain features or restrict access to parts of the Service.
BidIQ will use reasonable endeavours to provide advance notice of planned maintenance or significant changes to the Service where practicable.
7. Accuracy of Procurement Information
BidIQ aggregates tender and procurement opportunity information from publicly available official South African government sources, including the National Treasury eTender Publication Portal and similar authoritative platforms. We present this information as a convenience to assist businesses in identifying potential opportunities.
While BidIQ takes reasonable steps to ensure the accuracy and currency of the information displayed, we make no warranties or representations regarding the completeness, accuracy, reliability, suitability or availability of any specific tender or procurement record.
Important Disclaimer: Procurement information on BidIQ is intended solely as a discovery and reference tool. Before submitting any bid, tender, proposal or expression of interest, you must independently verify all requirements, specifications, closing dates, contact details, mandatory documents and conditions of participation directly with the relevant procuring entity. BidIQ is not a substitute for official tender documents or official government procurement portals, and information on BidIQ may be delayed, incomplete or no longer current at the time of viewing.
BidIQ accepts no responsibility for any loss, missed opportunity or bid disqualification arising from reliance on information displayed on the Service.
8. Third-Party Data Sources
The Service integrates information aggregated from third-party sources, including South African government procurement portals. BidIQ does not control the accuracy, completeness, timeliness or continued availability of information provided by these external sources and is not responsible for any errors, omissions or changes in such information.
References or links to third-party websites or resources are provided for your convenience only. BidIQ does not endorse, and accepts no responsibility for, the content, products, services or privacy practices of any third-party websites or resources. You access any third-party resource entirely at your own risk.
9. Email Alerts and Notifications
BidIQ allows registered users to configure email alerts for new procurement opportunities matching specified search criteria ("Email Alerts").
You acknowledge and agree that:
- Email Alerts are a convenience feature and are subject to the availability and accuracy of the underlying procurement data sources;
- BidIQ does not guarantee timely delivery of alerts, nor that all relevant tenders will be captured by the alert system;
- Information in any alert may be inaccurate, incomplete or no longer current at the time of receipt;
- Email Alerts do not constitute a comprehensive monitoring service and should not be relied upon as your sole means of identifying relevant procurement opportunities; and
- You may manage, modify or cancel Email Alerts at any time through your account settings.
10. Subscription Plans
BidIQ currently offers a free tier providing access to core procurement browsing, search and alert functionality. BidIQ intends to introduce paid subscription plans in the future, offering premium features including AI-powered tender summaries, enhanced match scoring, advanced categorisation and additional functionality.
Details of any future paid subscription plans — including pricing, feature inclusions, billing cycles and applicable terms — will be published on the BidIQ website prior to their introduction and will be subject to separate terms at that time.
BidIQ reserves the right to introduce, modify or discontinue subscription plans or individual features at any time. Where changes materially affect paid subscribers, reasonable notice will be provided.
11. Payment Terms
No payment is currently required to use the free tier of BidIQ. This section governs future paid functionality.
When paid subscription plans are introduced, the following general terms will apply:
- All fees will be displayed and charged in South African Rand (ZAR), inclusive of VAT at the applicable statutory rate;
- Subscription fees will be billed in advance on the applicable billing cycle (monthly or annual, as selected);
- All payments are processed via a secure third-party payment gateway and are non-refundable, except as required by the Consumer Protection Act 68 of 2008 or other applicable law;
- BidIQ reserves the right to suspend access to paid features upon non-payment; and
- Pricing is subject to change, with reasonable notice provided to existing subscribers before any price increase takes effect.
12. Limitation of Liability
To the maximum extent permitted by applicable South African law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory;
- BidIQ expressly disclaims all implied warranties, including any warranty of merchantability, fitness for a particular purpose, title and non-infringement; and
- BidIQ, its directors, officers, employees, agents and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages — including lost profits, lost revenue, lost business opportunity, loss of goodwill or data — arising from or in connection with your use of or inability to use the Service, even if BidIQ has been advised of the possibility of such damages.
BidIQ's aggregate liability to you for any single claim or series of related claims arising from or connected to the Service shall not exceed the amount paid by you to BidIQ in the twelve (12) months immediately preceding the event giving rise to the claim, or ZAR 1,000 (whichever is greater).
Nothing in these Terms shall limit or exclude BidIQ's liability for death or personal injury caused by gross negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under South African law.
13. Indemnity
To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless BidIQ, its directors, officers, employees, contractors and agents from and against all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising directly or indirectly from:
- Your access to or use of the Service;
- Your breach of any provision of these Terms;
- Your violation of any applicable South African or international law or the rights of any third party; or
- Any content, information or materials you submit to or through the Service.
14. Account Suspension
BidIQ reserves the right to temporarily suspend your account, without prior notice, if:
- We reasonably suspect a violation of these Terms or any applicable law;
- We detect unusual, suspicious or potentially harmful activity associated with your account;
- You fail to pay any applicable subscription fees when due; or
- A credible complaint from a third party relates to your use of the Service.
During any period of suspension, you will not be able to access your account or associated data. BidIQ will endeavour to notify you of the suspension and the grounds for it, and will provide a reasonable opportunity to respond, except where immediate suspension is necessary to protect the Service, its users or third parties.
15. Termination
15.1 Termination by You
You may request the deletion of your BidIQ account at any time by contacting us at hello@bidiq.co.za. Upon account deletion, your access to the Service will cease and your personal data will be handled in accordance with our Privacy Policy.
15.2 Termination by BidIQ
BidIQ may terminate your account and access to the Service at any time. Where termination is not for cause, we will provide reasonable advance notice where practicable. Termination for material breach of these Terms may be immediate.
15.3 Effect of Termination
Upon termination, your licence to access and use the Service is immediately and irrevocably revoked. The following provisions shall survive termination: Intellectual Property (Clause 5), Accuracy Disclaimer (Clause 7), Limitation of Liability (Clause 12), Indemnity (Clause 13), Governing Law (Clause 16), and any other provisions that by their nature should survive.
16. Governing Law and Jurisdiction
These Terms and any dispute or claim arising from or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
You agree to submit to the exclusive jurisdiction of the courts of South Africa for the resolution of any dispute arising from or relating to these Terms or the Service.
17. Changes to These Terms
BidIQ reserves the right to amend or replace these Terms at any time. When we make material changes, we will notify registered users by email and by posting an updated version on the Service, with the "Last Updated" date revised accordingly.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service and may request account deletion.
We recommend reviewing these Terms periodically to stay informed of any updates.
18. Severability
If any provision of these Terms is found by a competent court or authority to be unlawful, void or unenforceable for any reason, that provision shall be deemed severed from these Terms and shall not affect the validity, legality or enforceability of the remaining provisions, which shall continue in full force and effect.
